Terms of Use

These terms are the contract between you and SETOR 360 TECNOLOGIA E EVENTOS LTDA for the use of NWK Live Studio, NWK Operator, the nwk.com.br website and the services connected to them. By installing or using the Software, starting the free trial or continuing to use it after a change to these terms, you agree to them. If you use it on behalf of a company, you declare that you are authorized to accept them for that company.
1. Who we are
NWK Live Studio and NWK Operator (the "Software") and the services connected to them (the "Services") are provided by SETOR 360 TECNOLOGIA E EVENTOS LTDA, Brazilian tax ID (CNPJ) 68.185.118/0001-75, Alameda Rio Negro, 503, Sala 2020, Alphaville, Barueri, SP, CEP 06454-000, Brazil, which uses the NWK brand ("NWK"). 2. Who sells to you
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Your purchase is governed by Paddle's buyer terms, and your use of the Software is governed by these terms.
3. License
The Software is licensed, not sold. We grant you a limited, non-exclusive, non-transferable and revocable license to install and use the Software on up to 2 computers per license, for the paid period or the trial period, for your own productions or those of your clients. Each license is one key; the number of computers may be higher when stated in your order.
4. Free trial, coupons and complimentary licenses
The free trial lasts 7 days and is available once per computer, per email and per mobile number. It does not ask for a card and does not turn into a charge on its own. To start it, you enter your name, email and mobile number in the Software, accept these terms and the Privacy Policy and type the code sent to your email. We may limit or refuse trials to prevent abuse. When the trial ends, the Software stops streaming and recording until a license is activated.
During the trial, every feature works. Streams and recordings have no watermark at up to 720p (1280×720). In projects above 720p, such as 1080p or 4K, the Software works, but everything that comes out of the Program (streams, recordings, outputs and NDI®) carries the name "NWK Live Production" in the top right corner; the separate recordings of each camera (ISO) have no mark. With an active paid license, the mark disappears right away.
Coupons and complimentary licenses are valid under the stated conditions, such as period and number of uses, have no cash value and cannot be transferred or resold. When a free period ends, the Software stops streaming and recording until a license is activated. A complimentary license with no end date remains subject to these terms. We may cancel coupons and complimentary licenses obtained by fraud or used in breach of these terms. Discount coupons are applied when you pay.
5. Plans, prices and payment
- Subscription (monthly or annual): includes updates while it is active and renews automatically until canceled.
- One-time purchase: a single payment, with 12 months of updates. The covered version keeps working after that; versions released outside that period require renewing updates, which is optional.
Prices are on the pricing page, in US dollars. Applicable taxes and the total appear at checkout. Renewal and cancellation rules are in Subscription and cancellation, and refunds are in the Refund Policy.
6. Account, activation and internet
You are responsible for safeguarding your account password and license key, and you must notify us if you suspect misuse. Use of the Software depends on the license being confirmed over the internet each time it opens: without internet at that moment, the Software does not open. Once it is open, the confirmation continues in the background, and a lack of internet does not close or lock the Software or interrupt a stream or recording in progress. To control the license, the Software uses computer identifiers turned into irreversible codes, as explained in the Privacy Policy. Streaming and the internet features depend on your connection. To change computers, release the previous one in the Software or in your account, within the limits used to prevent a license from being rotated between computers.
7. Updates
We may release updates that fix, change or remove features. We will not remove an essential function of the Software during the period you have paid for without offering an alternative or a proportional refund. Services that depend on third parties may change when those third parties change.
8. What is not allowed
- Copying, reselling, renting or sharing the Software or the key beyond this license, or circumventing the license system.
- Circumventing, disabling or deceiving the license check or the free trial limits, for example by changing or imitating computer identifiers, using false data or multiple sign-ups to obtain new trials, or removing or hiding the trial mark.
- Reverse engineering, decompiling or modifying the Software, except where the law gives you that right.
- Using the Software or the Services in breach of the Acceptable Use Policy, including illegal use, fraud, spam, infringement of intellectual property and security attacks, such as malware, scanning and automated collection.
9. NWK's property
The Software, the Services, the NWK brand and the website belong to NWK or its licensors. These terms do not transfer any of these rights to you, other than the license in section 3.
10. Your content
What you produce, stream and record is yours, and NWK neither receives nor stores that content. You are responsible for having the rights to what you use, including the image and voice of guests, music and third-party broadcasts, and for following the rules of the platforms you stream to. Notices of rights infringement follow the Acceptable Use Policy. Anyone who repeatedly infringes rights may have their license terminated.
11. Third-party services
The Software connects to services you choose, such as YouTube, Facebook, Instagram, Twitch, ngrok and Cloudflare. They have their own terms, and NWK neither controls them nor is responsible for them.
12. NDI®
The Software includes the NDI® library from Vizrt NDI AB. You may not: modify the NDI SDK, NDI products or any part of them; reverse engineer, disassemble or recompile them or any protocols they use, whether transmitted over a network or used internally, or attempt to do so; circumvent their technical limitations; or remove, obscure or alter their proprietary notices. NDI and its licensors disclaim all warranties and, to the extent permitted by law, all liability for direct, indirect, incidental or consequential damages arising from the use of the Software. You must comply with applicable United States export laws. NDI® is a registered trademark of Vizrt NDI AB. The NDI library is copyrighted by its owner; notices ship with the Software in its licenses folder.
13. Open source components
The Software uses open source components under their own licenses, which prevail for those components and are not limited by these terms. See the Third-party notices.
14. Export and sanctions
You may not use the Software in violation of applicable export laws or sanctions, nor in countries or by persons under those restrictions.
15. Warranty
The Software and the Services are provided "as is". Live production depends on your equipment, your network and third-party services, and we do not guarantee uninterrupted or error-free operation. We recommend testing before each event and keeping a contingency alternative for important broadcasts. Nothing here excludes warranties that the consumer law of your country makes mandatory.
16. Limitation of liability
To the extent permitted by law, NWK is not liable for indirect or consequential damages, including lost broadcasts, recordings, data or revenue, and its total liability is limited to what you paid in the 12 months before the claim. Nothing here limits liability for willful misconduct, nor rights that the law does not allow to be limited, including those of consumers.
17. Suspension and termination
We may suspend or terminate your license or account in the event of a serious breach of these terms, non-payment, a refund or dispute of the purchase, a security or fraud risk, or repeated serious violations. When reasonable, we will warn you first and give you time to correct the problem. You may stop using the Software at any time. When the license ends, the Software stops streaming and recording.
18. Changes to these terms
We may update these terms and will publish the new version here, with the date. Important changes will be announced at least 30 days in advance by email or on the website, unless the law requires a shorter period. If you do not agree, stop using the Software before the stated date and, if you are a subscriber, cancel the renewal.
19. Governing law and venue
These terms are governed by the laws of Brazil. Without prejudice to your right to go to court, we ask that you contact us first at suporte@nwk.com.br. Businesses are subject to the venue of Barueri/SP. Consumers may use the venue of their own domicile and keep the mandatory rights under the law of the country where they live. The Portuguese version prevails in case of any discrepancy, unless the law of your country requires otherwise.
20. General provisions
If a clause is held invalid, the others remain in effect. Failing to enforce a right does not mean waiving it. You may not transfer these terms without our agreement; we may transfer them in the event of a reorganization or sale of the business, preserving your rights.
